THIS RESERVATION AGREEMENT (hereinafter “Agreement”) is made and entered into this [Day] day of [Month] 2025, by and between [Buyer First Name] [Buyer Last Name] located at [Buyer Address]. [Buyer City], [Buyer State] [Buyer Zip] (hereinafter “Buyer”), and The Kohler Britt Cattle Company, LLC, located at 345 W. 600 S., Suite 121, Heber City, Utah 84032 (hereinafter “KB Cattle”) and the parties agree as follows:
AGREEMENT
Reservation. Buyer agrees to pay a non-refundable deposit of five hundred dollars ($500) to KB Cattle for the right to purchase Calf #: [Calf # from the list/pictures of calf on the website] (hereinafter “Buyer Calf”), upon the terms and conditions set forth herein.
KB Cattle Services. KB Cattle agrees to the provide the following for Buyer:
a. Raise the Buyer Calf on the open prairie, with 100% organic feed in the winter, with no hormones or antibiotics,
b. Raise the Buyer Calf under all conditions as it would be certified as USDA Prime beef if sold on a commercial lot,
c. Protect the Buyer Calf from injury or death with reasonable care, and
d. Report with pictures and/or video the progress of the Buyer Calf to Buyer on a regular basis.
Purchase & Payment. At the time when said Buyer Calf reaches approximately 1,000lbs in weight (typically April or May of 2026), Buyer’s non-refundable deposit gives Buyer the right to purchase the Buyer Calf for the average price per pound for the 15 days preceeding the Buyer Calf reaching approximately 1,000 lbs., as published in the xxxx or on the xxx for a cow going to auction with a Prime, organic, hormone-free rating or classification. Once the price is determined, Buyer agrees to deliver payment electronically to KB Cattle within 72 hours of receiving written, email, fax, or text notice of the price, or Buyer shall forfeit the right to purchase the Buyer Calf.
Butcher and Processing. Upon receipt of Buyer’s payment, KB Cattle shall transport the Buyer Calf at its own expense to Circle V Processing, located xxxxxx, and shall bare the risk of the Calf’s health and wellbeing during transport. Buyer shall then be responsible for selecting the options for processing with Circle V (ie. hamburger, steaks, roasts, jerky, etc..), and for payment to Circle V including shipping or storage costs until the meat it picked up. At the point KB Cattle drops the Calf at Circle V, the risk and ownership transfers completely to Buyer and the transaction is complete. KB Cattle is not responsible for the processing of the Calf and/or delivery of the meat to Buyer.
Buyer Assumes the Risk. It is agreed between the Parties that the very nature of raising livestock and living animals it the risk of early death before maturity and ultimate auction. As such, if the Buyer Calf is to die before reaching 1,000 lbs, due to an act of God, disease, accident, predators, or any other unforeseen circumstance, the $500 deposit is non-refundable. However, if due to KB Cattle’s negligence the Buyer Calf is to die prematurely before auction, then the $500 is fully refundable.
Miscellaneous
a. Entire Agreement. This Agreement embodies the entire agreement between the parties and cannot be varied except by the written agreement of the parties. No modification or amendment of this Agreement shall be effective unless made in writing and executed by both DR. DOEZIE and DFM.
c. Successors and Assigns. All of the terms and conditions of this Agreement are hereby made binding on the successors and permitted assigns of both parties hereto.
d. Effective Date. All references to the "date of this Agreement" or the "date hereof" or similar references shall be deemed to mean the date first written above.
e. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California.
f. Attorneys' Fees. In the event that legal or collection action is brought to enforce the terms of this Agreement or collect monies due hereunder, the defaulting party shall be required to pay collection costs up to fifty percent of the amount due and owing, costs of court and reasonable attorney fees.
